These Terms of Service (“Terms”) are a legally binding Agreement between you and Insight Hosting Inc., a company incorporated according to the laws of Saskatchewan, Canada, and its affiliates and subsidiaries (collectively, “Insight Hosting”) that governs the use of services provided by Insight Hosting (the “Services”), including websites, apps, developments, and/or additional programs that, directly or indirectly, are used by Insight Hosting to provide the Services. When used in these Terms, “us”, or “ours” refers to Insight Hosting.

By accessing the Services, you (the “User”) acknowledge that you have read and accept these Terms, as may be amended from time to time, and your continued access and use of the Services constitutes your continuing acceptance and agreement to be bound by these Terms. By accessing and using the Services you represent and warrant to Insight Hosting that you have full legal authority to accept and be bound by the Terms on your own behalf and on behalf of any person that you represent. The User accepts that he/she/it has the legal capacity to oblige according to these Terms, and represents and warrants that the information provided to Insight Hosting in respect of the Services is true, valid, precise, and corresponds to his/her/its identity. If the User does not fully and completely accept these Terms, he/she/it must not access or use the Services.

By selecting Insight Hosting’s Services you have agreed to establish an account with us for the Services. When you use your account, or permit someone else to use your account (even if we are not notified of such authorization), the Terms cover any such service or actions. Use of the Services is restricted to those persons who are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations and warranties herein. By using the Services, you hereby represent that you have the authority to accept these Terms

Insight Hosting may revise and update these Terms at any time and without notice to you. You are cautioned and encouraged to review the Terms posted by Insight Hosting periodically. Your continued use of the Services will constitute a deemed acceptance of any changes.

Insight Hosting may terminate these Terms and/or the Services at any time and for any reason. Insight Hosting may also deny anyone access to its Services at any time and for any reason. You agree that we shall not be liable to you for loss or damages that may result from our refusal to provide the Services to you.

These Terms are valid despite any errors or any other conditions relevant to its validity; therefore, you agree as follows:

Fees and Payments. You agree to pay Insight Hosting the applicable service fees set forth in your service agreement. All fees are due immediately. For any one of our hosting or IT support plans, the full amount paid less any setup fees and overages will be refunded if Insight Hosting is notified of your intent to terminate within the first 30 days following activation. Termination of Services must be given by completing the contact us form on our website. No refund is available after the 30th day. We will provide you with the Services you selected for the period of time (“Services Term”) corresponding with the payment plan you selected. We will automatically renew your Services at the end of the Services Term and each successive renewal term, unless terminated prior to the due date for account termination. Termination of Services must be given by completing the contact us form on our website, at least 30 days prior to the termination date.

Accurate Information and Privacy. You agree to: (1) provide certain current, complete and accurate information about you as required by the application process; and (2) maintain and update this information as needed to keep it current, complete and accurate. We rely on this information to send you important information and notices regarding your account and our Services. Personal details provided are subject to Insight Hosting’s Privacy Policy, as amended from time to time, and such Privacy Policy is incorporated into and forms part of these Terms. By providing your personal details you are consenting to use of that personal information in accordance with the Privacy Policy.

Our privacy policy sets forth your and our rights and responsibilities with regard to your personal information. Insight Hosting may revise and update our privacy policy at any time and without notice to you. You are cautioned and encouraged to review the privacy policy posted by Insight Hosting periodically. Your continued use of the Services will constitute a deemed acceptance of any changes to the privacy policy. If you do not agree to any such modification of the privacy policy then you may terminate the Services in accordance with these Terms. We will not process the personal data that we collect from you in a way incompatible with the purposes and other limitations described in our privacy policy, and we will take reasonable precautions to protect your personal data from loss, misuse and unauthorized access, disclosure, alteration or destruction.

Services, System and Network Security. You agree not to harm us, our reputation, computer systems, programming and/or other persons using our Services. We reserve the right to select the server for your website for best performance. You understand that the Services are provided on a shared server. This means that one website cannot be permitted to overwhelm the server with heavy CPU usage, for example from the use of highly active ASPX or CGI scripts. It is a violation for anyone who, including but not limited to, employs or posts programs which consume excessive CPU time or storage space, permits the use of mail services, mail forwarding capabilities, or auto responders other than for their own account; or resale of access to scripts installed on our servers. Sending unsolicited mail messages, including, without limitation, commercial advertising and informational announcements, is explicitly prohibited. Users shall not use another website’s mail server to relay mail without the express permission of the third party website.

If we assign you an IP address in connection with your use of the Services, the right to use that IP address will remain with and belong only to Insight Hosting, and you will have no right to use that IP address except as we allow in our sole and absolute discretion.

The ownership and copyright of any website designs created by us for you remain the exclusive ownership and copyright of Insight Hosting until payment is made in full.

If you sell or resell advertising or web space to a third party then you will be responsible for the contents of that advertising and the actions of that third party. We have the absolute right to reject any advertising or other third party content that, in our sole and exclusive opinion, is illegal, offensive, or otherwise objectionable. The email distribution by you of “spam”, “junk mail”, or “unsolicited commercial messages”, is expressly prohibited. If you refuse to remove any advertising or other third party content deemed objectionable by us, we may terminate the Services without refund, rebate or other credit to you.

If, in our sole judgment, your website overwhelms the server, whether or not it causes complaints from other Users, you will be deemed to have outgrown the realm of shared servers, and will need to relocate your website to one of our dedicated server environments. We will refund any unused portion of prepaid Services. If you refuse to comply with this section, then we reserve the right to terminate the Services without refund.

Violations of system or network security are prohibited, and may result in criminal and civil liability. Examples include, but are not limited to the following: (1) unauthorized access, use, probe, or scan of a system’s security or authentication measures, data or traffic; and (2) interference with service to any user, host or network including, without limitation, mail bombing, flooding, deliberate attempts to overload a system and broadcast attacks.

Intellectual Property and Content. Users acknowledge and accept that all intellectual and industrial property rights over the Services and over all contents and elements included in the Services (such as, but not limited to, trademarks, patents, copyright, logos, figures, commercial names, texts, images, graphics, designs, sounds, databases, software, presentations, and audio and video elements) belong to Insight Hosting (collectively, the “Intellectual Property”). Any reproduction, distribution, transmission, copying, alteration, exploitation, publication, diffusion, or disposition of the Intellectual Property is strictly forbidden without the previous written consent of a legal representative of Insight Hosting.

All content and information contained through the Services (collectively, the “Information”) is provided on an “as-is” basis and Insight Hosting hereby expressly disclaims all liability and you hereby waive, as against Insight Hosting, for any action you may take as a result of relying on such content, information or advice or for any loss or damage suffered by you as a result of you taking this action. The Information may be protected by intellectual property rights owned by Insight Hosting or third parties which provide such Information to Insight Hosting. You shall be fully responsible for any consequences resulting from any misuse of the Information. The framing, scraping, data-mining, mirroring, extraction or collection of the Information in any form and by any means whatsoever is strictly prohibited. None of the Information may be otherwise reproduced, modified, republished, sold or distributed, in whole or in part, in any manner or form without the prior written consent of Insight Hosting or the third party which has provided such Information. We intend for the Information to be accurate and reliable, however, the Information is provided to you without warranty or condition of any kind, whether express or implied. It is your responsibility to verify with us that the Information is accurate.

Users may create a link (the “Hyperlink”) to our website provided that: (1) you do not replicate any of the Information of our website; (2) you do not create a frame or any other bordered environment around our website or its Information; (3) the Hyperlink shall not imply any endorsement of any product or services; and (4) the website linking to our website does not contain any information, content or material that would interfere with the operation of our website nor which libels, defames, invades privacy, is distasteful, offensive, obscene, pornographic, abusive or threatening, intended for an adult audience, infringes intellectual property laws or violates any other laws. We may withdraw your right to link to our website at any time in our sole discretion.

Users may upload various content (the “Content”). Users grant Insight Hosting a non-exclusive, time unlimited, royalty-free licence for using the Content for purposes of providing the Services. Insight Hosting does not ensure the truthfulness or reliability of any Content. Content published or shared by Users may be visible to the public. When there is an opportunity to select settings, we will respect the choices the User makes on who may see the content or the information (for example, sharing content only with subscribers, restricting visibility of the User’s profile in search engines, and choosing not to notify or publish data through any means). User’s consent will be required in case of granting to other persons the right to publish their Content. Notwithstanding, if the User decides to share his/her Content, we will allow search engines to show said Content in their servers.

Any User Content or communications posted represent the views of the User who posted such Content or communication and are not to be taken as the views of Insight Hosting. Insight Hosting accepts no responsibility or liability for anything posted by a User. You may not use the Services to post, upload or otherwise transmit information or pictures that are defamatory, a breach of privacy or otherwise unlawful. You agree that you are solely responsible for any Information or communication you create, transmit, post or display in accordance with these Terms. Insight Hosting reserves the right to monitor any information transmitted or received, and may, at its sole discretion and without prior notice, at any time review, remove or otherwise block any materials posted that violate these Terms.

Links available on our website or a User’s website will allow you to link to websites not maintained or controlled by Insight Hosting. We provide these links for your convenience only and make no endorsements, warranties or representations of any kind whatsoever regarding those other websites and assume no responsibility for content on such websites. Please be aware that you link to these third party websites at your own risk. Insight Hosting makes no claims or representations regarding, or accepts any responsibility for, the quality, content, nature or reliability of linked websites.

Illegal Use. Insight Hosting servers may be used only for lawful purposes. Transmission, distribution or storage of any material in violation of any applicable law or regulation is prohibited. This includes, without limitation, material protected by copyright, trademark, trade secret or other intellectual property right used without proper authorization, and material that is obscene, defamatory, constitutes an illegal threat, or violates export control laws. We will be the sole arbiters as to what constitutes a violation of this provision.

For greater clarification, Insight Hosting’s web hosting and/or related electronic services can only be used for legal purposes under all applicable international, federal, provincial, and municipal laws. Further, you agree not to store, transmit, link to, advertise, make available, discuss or otherwise disseminate any information, references, text or images that suggest or contain pornography, or reasonably might be interpreted or considered, in our sole judgment, to be pornographic or suggestive of pornography, whether in content or purpose, regardless of kind and degree. Violations of these or any other provisions of this Agreement may result in termination of the Services, with or without notice, at our sole discretion based upon the severity of the violation. The content of your website is your sole responsibility. You agree to indemnify and hold us harmless from any and all business or proprietary losses, claims, damages, liabilities, judgments, or settlements, including reasonable attorney's fees, costs and other expenses incurred by Insight Hosting, (collectively, Claims) related to or in connection with the content of your website. The terms of this section will survive any termination of the Services.

Consequences of Violation. When we become aware of an alleged violation of these Terms we will initiate an investigation. During the investigation we may restrict User access in order to prevent further possible unauthorized activity. Depending on the severity of the violation, we may, at our sole discretion, restrict, suspend, or terminate User accounts and/or pursue other civil remedies. If such violation is a criminal offense, Insight Hosting will notify the appropriate law enforcement department of such violation. We do not issue service credits for any outages incurred through service disablement resulting from policy violations.

Termination and Other Measures. Insight Hosting may cease to provide access to the Services if you breach these Terms, our policies, applicable laws, or as necessary to protect Insight Hosting, its Users, or third parties.

You agree that we may immediately terminate, without notice, your use of the Services if the information that you provide or subsequently modify contains misleading information or conceals or omits any information we would likely consider material to our decision to provide you with Services. You agree that we may immediately terminate, without notice, the Services in the event that you use the Services for any improper purpose, as determined in our sole discretion. Furthermore, you agree that we may suspend, cancel or transfer Services. We will not refund any fees paid by you if we terminate the Services.

Without limiting the generality of the foregoing, and for greater clarification, if you i) breach these Terms, the policies or rules; ii) breach laws, applicable regulations, or rights of third parties; or iii) Insight Hosting considers it reasonably necessary to protect Insight Hosting, the Services, its Users or third parties, Insight Hosting may, with or without prior notice, suspend or limit your access or use of the Services and/or your account.

Limitation of Liability and Indemnity. The Services and all information and other materials made available on or through the Services are provided “as-is” without representations, warranties, conditions and indemnities of any kind, either express or implied. Insight Hosting disclaims all representations, warranties and conditions, expressed or implied, statutory or otherwise, including, without limitation, implied warranties and conditions of merchantability, fitness for a particular purpose, uninterrupted or error-free operation, title, non-infringement or other violation of rights. INSIGHT HOSTING DOES NOT provide any representations, warranties, conditions or indemnities regarding the use, validity, accuracy, completeness, timeliness, availability or reliability of, or any results of the use of, or otherwise respecting, the Services. INSIGHT HOSTING DOES NOT ASSUME any obligation to update the Services or advise of any further developments with respect to the Services. Information that is provided via the Services may contain errors and may be subject to change without notice.

Insight Hosting does not warrant or make any representations as to the security of the Services nor does it warrant the functions or materials accessible from or contained in the Services will work uninterrupted or error free, the defects will be corrected, or that the Services are free from viruses or other harmful elements. Insight Hosting will use reasonable means to ensure the Services are constantly and consistently available, and up-to-date at the time information is posted, but does not guarantee the accuracy of any content. There may be typographical errors, inaccuracies, or other errors; Users are encouraged to report errors to Insight Hosting support so the appropriate corrections can be made. Insight Hosting is not liable for any issues that arise from technical difficulties, internet failures, telecommunication networks failures, power surges, power failures, or any other circumstances not controlled by Insight Hosting. Users acknowledge that the Services may not be available from time to time due to technical difficulties.

Under no circumstances shall Insight Hosting be liable for any direct, indirect, special, incidental, punitive, exemplary, aggravated, economic or consequential damages arising out of or in any way related to the use, or the inability to use or access the Services or any information or other materials available on or through the Services, even if Insight Hosting or an authorized representative of Insight Hosting has been advised of the possibility of such damages.

Users agree to indemnify Insight Hosting, as well as its partners, shareholders, investors, representatives, powers of attorney, agents, legal advisors, service providers, and employees of any expenses, damages, and/or loss (including reasonable lawyers’ fees) they suffer as a result of any claims, lawsuits, litigation, actions or proceedings of any kind against Insight Hosting or the aforementioned persons in connection with the User’s use of the Services.

Users agree to release Insight Hosting, as well as its partners, shareholders, investors, representatives, powers of attorney, agents, legal advisors, service providers, and employees of any expense, damages, and/or loss (including legal costs) as a result of any claims, lawsuits, litigation, actions or proceedings of any kind against the User arising in connection with the User’s use of the Services.

Notices and Announcements. You authorize us to notify you of information that we deem is of potential interest to you. Notices and announcements may include commercial emails and other notices describing changes, upgrades, new products and services or other information pertaining to Internet security or to enhance your identity on the internet and/or other relevant matters. If you do not wish to receive email solicitation notices or announcements, please send us an email at [email protected].

Assignment. Users may not assign their rights and obligations assumed when subscribing to these Terms. Insight Hosting may assign these Terms to any third party that succeeds it in the exercise of its business, or assumes the ownership of the Services, or is within the same corporate group.

Notifications. Any notification, request, or other communication to be delivered to any party under or regarding these Terms must be made by the Users to Insight Hosting in writing. Any notification of the Users to Insight Hosting must be sent via i) email; ii) courier service; and/or (iii) personally, at Insight Hosting’s office. Unless otherwise stated, any notice and other communication intended for Users, necessary or allowed according to these Terms, shall be made electronically and delivered by Insight Hosting via email or message (including SMS), or any other contact method that you provide and authorize when registering your User account.

Amendments. These Terms may be amended, added to, or changed by Insight Hosting; in which case the date of the latest update will be changed at the top of this document. The User expressly acknowledges Insight Hosting’s right to amend these Terms at any time, having to periodically review the Terms in effect.

Taxes. Each party shall be liable for payment of all taxes and/or contribution that are caused as a result of the obligations agreed in these Terms. None of the parties make any representation or guarantee to the other parties regarding tax treatment of these Terms, and each of said parties must be based solely on the recommendations of their tax advisors regarding tax consequences of these Terms.

Governing Law. These Terms shall be governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein. Any disputes shall be governed by the Courts of the Province of Saskatchewan without reference to conflict of laws principles.

By using the Services you acknowledge that you have read these Terms and agree to be bound by them.
